Welcome to the Terms and Conditions for Hotelsdirect4less.com ("Terms"). The services available at http://www.Hotelsdirect4less.com are provided by Hotels Direct 4 Less Limited ("Hotelsdirect4less", "We", "Us" or "Our"), located at 34E Rowan Crescent, Biggleswade, Bedfordshire, SG18 0PQ, United Kingdom. We are an online travel service that provides consumers the ability to search and book Accommodation directly with rooms allocated by the Accommodation Provider.

This document describes the terms and conditions applicable to Your use of Our services available under the domain and sub-domains at http://www.Hotelsdirect4less.com (the "Site"). If You are a business entity, You represent that You have the authority legally to bind that entity. If You do not agree to be bound by these Terms, You may not use or access Our services.

Please take Your time to read these terms and conditions carefully as they form a legal agreement between You and Hotelsdirect4less. You will not be able to make a provisional booking or access any of the secure services without agreeing to these Terms.

We reserve the right to modify these Terms at any time by giving You notice ("Notice") by either e-mail in accordance with Your communication preferences or by posting the amended Terms on the Site. Any modification of these Terms will be deemed to be effective from the date and time of posting on the Site. They will supersede any other Terms in whatever form given. These Terms apply from 10TH March 2009

1.0 - DEFINITIONS AND INTERPRETATIONS

The following expressions shall have the following meanings unless the context otherwise requires:-

"Accommodation" means any and all hotels, apartments, houses or other accommodation provided by the Accommodation Provider. "Accommodation Provider" means the person that has created an advertisement on the Site. The provider will be the property owner, a representative of a business entity or an agent acting on behalf of the property owner.

"Advertiser" means any person or entity that has created an advertisement whether free or by paying an annual subscription to Us.

"Affiliate" means an individual or organisation approved to promote Hotelsdirect4less and the services offered.

"Customer" means a person that uses the Site and books Accommodation through the service.

"Reservation fee" means the non-refundable sum that You pay to Us to act as an intermediary between You and the Accommodation Provider.

"Facilities" means facilities offered to Users such as golf courses and ski resorts.

"Inappropriate Behaviour" conduct that under the laws of any jurisdiction where the material can be accessed is any of the following:- unlawful, threatening, abusive, harmful, malicious, obscene, pornographic, malicious, profane, libellous, defamatory, infringes any Intellectual Property Rights, constitutes or encourages a criminal offence or contains a virus, worm, trojan horse or other harmful code.

"Intellectual Property Rights" all copyrights, patents, registered and unregistered design rights, database rights, topography rights, domain names, trademarks and service marks and applications for any of the foregoing, together with all trade secrets, know-how, rights to confidence and other intellectual property rights in all parts of the world;

"Personal Details" means Your name, address and other personal or contact information provided to Hotelsdirect4less or posted on the Site.

"Service" means the provision of a website by Us to enable the dissemination of information and booking Facilities relating to travel and Accommodation.

"Service Fee" means the annual fee payable in advance for the provision of the Service as indicated in the order process after identification of the Service by the Advertiser

"Site" means this website.

"User" means any person or persons that accesses and/or uses the Site.

"Your Content" means information provided by You to Hotelsdirect4less or posted by You on the Site.

2.0 USING HOTELSDIRECT4LESS 2.1 You agree not to use this Site for any purpose that is unlawful or prohibited by these Terms or by other applicable laws and regulations in the United Kingdom or in the country in which You reside. Your continued use of the Site also signifies that You indemnify Hotelsdirect4less from any loss or damage or costs in connection with any breach of these Terms or any other legal obligation by You and Your use of, or conduct on the Site. We may limit Your participation in the Site or bar You temporarily or permanently if Hotelsdirect4less believes that You have engaged in any Inappropriate Behaviour.

2.2 You understand that We do not upload or constantly maintain the information on the Site and cannot guarantee its accuracy.

2.3 You understand that We will do Our best to correct errors and omissions on the Site as quickly as is practicable after being notified.

2.4 You understand that We may without any liability change, suspend or discontinue any aspect of the Site at any time, including the availability of any Site features, database, or Site Content. We may also impose limits on certain features or services or restrict Your access to parts or all of the website without notice or liability. Hotelsdirect4less does not warrant that the provision of the Service will be uninterrupted or error-free.

2.5 On creating a user ID You will be issued with a password which will enable You to access and use all areas of the Site. The password will be exclusive to You and You undertake not to disclose it to anyone else and accept that You will be responsible for all use of such password.

Your Obligations and Responsibilities 2.6 You undertake to notify Us of any changes to Your Personal Details from time to time.

2.7 You undertake to check the accuracy of Your Personal Details included on the Site and promptly notify Us in the event of any inaccuracies therein.

2.8 You warrant, represent and undertake that no use of the Site by You shall involve Inappropriate Behaviour.

2.9 You agree to notify Us once You no longer wish to be a User.

2.10 You undertake not to embark on any course of action, whether by use of the Site or any other means, which may cause a disproportionate level of Site activity without obtaining Our prior written approval.

2.11 You hereby acknowledge that You are fully responsible for all consequences of Your Content being posted on the Site. Unauthorised Use

2.12 Unless otherwise provided within these Terms, or unless an applicable law requires Us to allow You to do so, You may not do any of the following without Our prior written consent:

a) copy, reproduce, upload, post, display, republish, distribute, or transmit any part of the Site in any form whatsoever;
b) modify, translate into any language or computer language, or create derivative works from, any Site Content or any part of this Site;
c) reverse engineer any part of this Site, save to the extent expressly permitted by applicable law;
d) sell, offer for sale, transfer, or license any portion of the Site in any form to any third parties;
e) use the Site to make any false, fraudulent or speculative bookings, or any reservation in anticipation of demand;
f) post, advertise or upload false, inaccurate, misleading or defamatory content (including personal information);
g) post or transmit any unlawful, threatening, abusive, libellous, defamatory, obscene, vulgar, indecent, inflammatory, sexually explicit, pornographic or profane material or any material that could constitute or encourage conduct that would be considered a criminal offence, give rise to civil liability, or otherwise violate any law or for any other purpose that is unlawful or prohibited by these Terms;
h) collect, use or store personal data about other Users of this Site whether or not for commercial purpose without their consent. This means no posting of phone numbers, addresses or any other private information without the express permission of that individual. Processing of personal data is regulated by the Data Protection Act 1998 in the United Kingdom;
i) take any action that may undermine the customer reviews system (such as displaying feedback information on, or exporting feedback information to, non-Hotelsdirect4less sites, or using it for purposes unrelated to Hotelsdirect4less);
j) transfer Your Hotelsdirect4less account (including customer reviews) and User ID to another party without Our express consent;
k) misrepresent Your identity by using a false email address, impersonating another person or entity, or otherwise misrepresenting the origin of information You enter;
l) transmit, solicit or post sexually explicit messages, text or photographs;
m) Invade another User's privacy. This includes revealing another User's password, telephone number, address or any other personally identifiable information;
n) carry out any activities in relation to "screen scraping" or "database scraping" to obtain lists of Users, URLs, Internet Keywords or other information;
o) do anything which imposes an unreasonable or disproportionately large load on the Site's infrastructure;
p) transmit unsolicited messages that advertise or link to businesses, sites, programs or other unauthorised commercial ventures. This includes junk mail, spam, bulk mailings, unauthorised promotional materials and pyramid schemes;
q) transmit anything that violates, plagiarises or infringes any patent, trademark, copyright or other proprietary rights of another party;
r) disguise the origin of the information transmitted through the Site.
s) upload, post, email, fax or otherwise transmit material that contains software viruses or any other computer code, file or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment, including but not limited to the Site
t) attempt to gain unauthorised access to any of the services provided by Us, other User accounts, computer systems or networks connected to the Site and/or services through hacking, password mining or any other means
u) interfere with or disrupt the Site and/or services or servers or networks connected to the Site or disobey any requirements, procedures, policies or regulations of networks connected to the Site
v) intentionally or unintentionally violate any applicable national or international law

Copyright and trademark notices

2.13 You acknowledge that any and all of the copyright, trade marks, trade names, patents, domain name and other Intellectual Property Rights created, developed, subsisting or used in or in connection with the Site are and shall remain Our sole property. You shall not during or at any time after the completion, expiry or termination of these Terms in any way question or dispute Our ownership thereof. We own the registered trademark "Hotelsdirect4less". Other product and company names mentioned herein may be the trademarks of their respective owners. Images on this Site are incorporated for viewing purposes only and may not be saved or downloaded in any format.

2.14 In the event that new inventions, designs or processes evolve in performance of or as a result of these Terms, You acknowledge that the same shall be Our property unless otherwise agreed in writing by Us.

Age

2.15. This website is intended for use by those over the age of 18 years who are able to enter into binding contractual arrangements. No one under that age should book any Accommodation through this website.

1. COMMUNICATION

3.1 Users' identities are important to Us and Hotelsdirect4less treats Your Personal Details with great respect. Hotelsdirect4less expects Users and Advertisers to treat each other's identities with the same level of respect. When Users are involved in a transaction, they may obtain access to each other's name, User ID, email address, and other contact information, postal information and financial information. We cannot guarantee that other Users will respect the privacy or security of Your information.

3.2 We store and process Your information that are protected by physical as well as technological security devices. You can access and modify the information You provide to Us and choose not to receive certain communications by signing-in to Your account.

3.3 We warrant that We shall perform Our duties hereunder in a timely and professional manner and that all details which We hold in relation to Your identity shall be held and processed in accordance with Our Data Protection notification and privacy policy. Contact Information.

3.4 You agree that You have not misrepresented Your identity when using the Site and agree to always provide valid and complete contact information and must always have a valid email address.

3.5 You are responsible for maintaining the confidentiality of Your User ID and password and for all activity that occurs on Your user account. You take full responsibility for all information and instructions transmitted through the Site using Your user ID, email address and/ or password. All such information will be considered sent and authorised by You. You agree to immediately notify Hotelsdirect4less of any unauthorised use of Your user account or any other breach of security. Hotelsdirect4less will not be liable for any loss You incur as a result of someone else using Your user account, email address or password with or without Your permission.

3.6 You agree to respect other Users' rights to privacy and agree that in relation to any personal information that You obtain through the Site or through any Site-related communication or any Site-facilitated transaction, whereby We have granted to You a licence to use such information only for:
(a) any Site-related communications that are not unsolicited commercial messages,
(b) using services offered through the Site,
(c) any other purpose that a User expressly agrees to after You tell it the purpose You would like to use it for.

3.7 You agree that in all circumstances You will give Users the opportunity to remove themselves from Your address book or database and a chance to review what information You have collected about them.

3.8 You agree that under no circumstances, can You disclose personal information about another User to any third party without both Our consent and the consent of the other User.

3.9 You agree that other Users may use Your personal information to communicate with You in accordance with these Terms.

3.10 You agree that You will protect other Users' personal information with the same degree of care that You protect Your own personal information, and You assume all liability for the misuse, loss, or unauthorised transfer of such information.

3.11 You may not use the "Email This Item to a Friend" service or other email services that We may offer to send spam or otherwise send content that would violate these Terms. We do not permanently store email messages or the email addresses sent from these tools. If You send email using the "Email This Item to a Friend" service to an email address that is not registered in Our community, We do not use that email address for any purpose other than to send Your email. Identity Verification

3.12 You acknowledge that We do not verify Users or Advertisers that use Our Site. User verification is difficult to perform on the Internet and We cannot and do not confirm each User's or Advertiser's purported identity.

4.0 LINKS TO THIRD PARTY WEBSITES

4.1 The Site may contain hyperlinks to external websites owned and operated by third parties. We have no control over such third party sites and accept no responsibility in relation to the accuracy, completeness and quality of the information contained within them. Some links to hotels are provided by our affiliate partners and as such have there own terms and conditions of use. Any and all content on these external websites does not constitute services or information provided by Hotelsdirect4less. You should direct any concerns regarding any external link to the Site administrator or webmaster of the website.

4.2 You acknowledge that by accessing such third party websites You enter at Your own risk. Hotelsdirect4less provides these links merely as a convenience and the inclusion of such links does not imply an endorsement of the Site or associated entities, products or services. We encourage You to be aware of when You leave Our Site and to read the terms of use and privacy statements of each and every Site that collects personally identifiable information.

5.0 ACCOMMODATION BOOKINGS

5.1 You agree that We are not party to any transactions between You and the Accommodation Provider. We do not own any Accommodation. We are an online service which advertises Accommodation from around the world and provides Facilities to Accommodate bookings. When You book Accommodation on the Site You are entering into a financial and legal relationship with the Accommodation Provider and not Hotelsdirect4less.

5.2 Hotelsdirect4less takes no responsibility for the accuracy of the details posted on the Site in respect of any of the Accommodations advertised within the Site. The advertisement is created and managed by the Accommodation Provider and it is responsible for providing true and accurate information to You. We do not and cannot review all content posted to the Site and We specifically disclaim any and all liability arising from the alleged accuracy of the advertisement, customer reviews, or any alleged breaches of contract on an Advertiser's part. Customers are strongly recommended to make their own investigations into the authenticity of any information supplied. Hotelsdirect4less are in no way liable for any inaccuracies or misleading statements made in the information provided by any Advertiser or agents acting on its behalf on the Site. If You need clarification on any of the details within an advertisement, it is recommended that You contact the Accommodation Provider directly.

5.3 When You book Accommodation please remember that, in addition to these Terms, You will be subject to the terms and conditions of the Accommodation Provider. You should always ensure You have read and understand the booking terms and conditions prior to agreeing any booking or making any payments. The contract for the Accommodation is between You and the Accommodation Provider and any queries or concerns relating to the Accommodation should be addressed to it. You will see the name and contact details, for most Accommodation Providers within the booking voucher under the "Contact" section.

5.4 The Accommodation Provider is responsible for all information within their advertisement including any official regional rating it has been awarded. Accommodation star ratings are acquired from a variety of sources and are to be used as a general guide. However, these may not necessarily be the official local rating and You should be aware that standards can vary between Accommodation of the same class in different countries, and even in the same country. Different countries have different standards; a 3 star hotel in one country is not necessarily equivalent to a 3 star hotel in another.

5.5 All rates within advertisements are created and managed by the Accommodation Provider and it reserves the right to alter any of the advertised Accommodation rates.

5.6 Many Accommodation Providers, especially in cities and major resorts, Accommodate conventions and conferences. Also, at certain times of the year, some destinations have an influx of groups such as students, associations or clubs. We do not have exclusive use of the various Accommodations available within the Site. The Accommodations advertised may have communal areas that are shared with guests from many countries with different cultures and customs and of mixed age groups.

5.7 Breakfast is not included unless otherwise stated. Some Accommodation Providers may charge additional local taxes. 5.8 Some of the Accommodations advertised within the Site are "subject to availability" this means that until the Accommodation Provider confirms Your booking the Accommodation will not be secured.

5.9 When You book any Accommodation We will send You an email acknowledging on behalf of the Accommodation Provider. The booking email will outline all of the booking details.

5.10 Once the Accommodation Provider accepts Your booking request the booking becomes binding with the Accommodation Provider. Provisionally booking Accommodation with no intention or interest in securing the booking is not permitted. The terms of Clause 8 are applicable to all bookings.

6.0 CUSTOMER REVIEWS

6.1 Hotelsdirect4less may offer a facility to allow Customers to provide a numeric score based on their experiences whilst staying at Accommodation listed within the Site. It is important to note that the scores awarded will be a permanent part of that Advertiser's record on the Site.

6.2 Feedback is a valuable indicator of a Customer's experience whilst staying at Accommodation listed within the Site. The numeric scores are based on various aspects of their stay from service to location.

6.3 Hotelsdirect4less does not edit the customer reviews submitted and to the fullest extent permitted by law will not be in any way responsible or liable for such customer reviews or their subsequent posting, use or distribution. In addition, Hotelsdirect4less does not verify, endorse or approve the views or comments expressed in any customer reviews which are the personal views of the individuals submitting them. Any decisions made on the basis of reviews or comments appearing on the Site are taken at Your own risk.

6.4 Hotelsdirect4less reserves the right for any reason in Our sole discretion to refuse to post or remove (without notice) any customer reviews. Any abuse of the customer review scoring system will result in the removal of the score from the Site. Feedback left by a person who was ineligible to participate in a customer review at the time the review was left will result in the removal of the score from the Site.

7.0 DESTINATION INFORMATION

Travel Guides

7.1 All travel guides and destination information are provided free of charge and are compiled from a variety of different sources.

7.2 All travel guides are for information only and Users accept that Hotelsdirect4less accepts no responsibility or liability for the information relating to the destinations.

7.3 Hotelsdirect4less urges Customers to review any travel prohibitions, warnings, announcements and advisories issued by their local government prior to booking travel to international destinations.

Passports, Visas and Health Requirements

7.4 All passports, visa and Health Requirements details provided within the Site are for Your information only and it is advised that You seek professional advice tailored to Your personal circumstances prior to booking.

7.5 It is Your responsibility to check and comply with any passport, visa and health requirements that are imposed by the country which You are visiting.

7.6 You should contact Your Embassy for information and advice on the passport and visa requirements of the countries You propose to visit. Please note: Passport and visa regulations can change and You should therefore check with the relevant embassy well in advance of travel, even if You have travelled to this destination before. It is Your responsibility to be in possession of a valid passport and, if appropriate, a visa. It can often take some time to obtain a visa, so You are advised to apply in plenty of time.

7.7 Health facilities, hygiene and disease risks vary worldwide. You should take health advice about Your specific needs as early as possible from a suitable professional for example from a general practitioner.

Weather Trends

7.8 All weather information on the Site is based on a 5 year historic trend and is for information only. All weather related information is updated annually based on the previous year's statistical information compiled from various sources.

7.9 The weather information displayed within the Site is not a forecast and Users accept that Hotelsdirect4less accepts no responsibility or liability for the weather at the time in which You take Your trip.

8.0 DOWN PAYMENTS, PAYMENTS TO ACCOMMODATION PROVIDER, CANCELLATION, CREDIT CARD PAYMENTS AND CURRENCY CONVERSION

8.1 For the provision of the Service by Us, You will pay Us a Reservation fee in order to secure the reservation with the Accommodation provider. This sum is non-refundable and covers Our administration services in organising and administering Hotelsdirect4less.com including the discounts that We have negotiated with the Accommodation Providers.

8.2 Payment for any ancillary services will be made directly by You to the Accommodation Provider. As per Clause 5.3, the provision of such Accommodation to You by the Accommodation Provider will be subject to the Accommodation Provider's terms and conditions.

8.3 In order to secure a reservation, You must provide a valid debit or credit card in Your own name or which You have been expressly authorised to use by the owner. If You cancel Your reservation with the Accommodation Provider less than 24 hours before scheduled check-in or fail to check in at the Accommodation by the Accommodation Provider's scheduled check-in time, You are liable and hereby agree to have charged to Your card the cost of one night's Accommodation plus our reservation fees of the whole booking period or such other amount as may be set out in the Accommodation Provider's terms and conditions.

8.4 If You fail to check in by the Accommodation Provider's scheduled check-in time and you do not alert Hotels Direct 4 Less in advance the Accommodation Provider shall be at liberty to cancel Your reservation without any liability and you risk receiving no refund.

8.5 We are not responsible for cancellations made by you and are not responsible for any claim You may have in respect thereof or for any losses, additional expenses associated therewith. Such matters are for resolution directly and exclusively between You and the Accommodation Provider but will be subject to the Accommodation Provider's terms and conditions.

8.6 If We convert any of the published rates within an advertisement from the currency that the rate was entered in We will use currency rates based on various publicly available sources and should be used as guidelines only. All currency rates are believed to be accurate, but Hotelsdirect4less and/or Our Advertisers do not warrant or guarantee such accuracy.

8.7 No rates are verified as accurate, and actual rates may vary. Currency quotes are not updated every day. Check the date on the Currency Converter for the day that currency was last updated.

8.8 When making a payment for Accommodation to the Accommodation Provider where the currency is different from the one You normally pay in it is important to note that the currency rate that You receive may vary from day to day or depending on the financial institution You use and You should be aware of any additional charges You may incur from said financial institution.

9.0 INSURANCE

9.1 It is Your responsibility to ensure that You have adequate insurance. We strongly recommend You take out insurance to cover against cancellation charges and assistance (including repatriation) in the event of accident or illness plus cover for accidental damage to the Accommodation of which You have booked.

10.0 SERVICE AVAILABILITY

10.1 The Site and services are normally available; at times the Site or services maybe interrupted for scheduled maintenance or upgrades, for emergency repairs, or due to failure of equipment and telecommunications links beyond Our control. We always undertake to use commercially reasonable endeavours to prevent breaches of security to the Site.

10.2 We may change, suspend or discontinue any aspect of the Site at any time, including the availability of any Site features, database, or content, where We have legal, commercial or technical reasons to do so. We may also impose limits on certain features or services or restrict Your access to parts or all of the Site for similar reasons.

10.3 Hotelsdirect4less reserves the right to delete any content for any reason without notice. Some deleted content may be stored by Hotelsdirect4less to meet legal obligations.

11.0 COMPLAINTS

11.1 All complaints relating to Accommodation or an advertisement should first be addressed to the Accommodation Provider, Advertiser or agent. If You have a problem whilst staying at the Accommodation You must report it immediately to the Accommodation Provider or its appointed agents.

11.2 Any complaints relating to the Hotelsdirect4less Site or services, should be address either by email to customerservices@hotelsdirect4less.com or alternatively in writing to Hotelsdirect4less Limited, 34E Rowan Crescent, Biggleswade, Bedfordshire, SG18 0PQ, United Kingdom.
